TRADEPOINT.CA WEBSITE TERMS OF USE
The following are the terms of use (the "Terms") that govern the use of the www.tradepoint.ca website and the services available thereunder (the “Website" or the “Service"). The Website and the Service are operated by Tradepoint.ca Inc. (the “Company"), a corporation existing under Ontario law. By using the Website, you agree to be bound by the Terms as revised or updated from time to time, including without limitation, any Privacy Policy that may be posted on the Website from time to time, and any other usage guidelines and rules that may be posted from time to time, all of which are incorporated herein by reference, as well as all applicable laws and regulations governing the Website and the Service. Certain terms used herein may be hyperlinked and you are deemed to have reviewed the applicable linked pages on the Website. If you do not agree, please do not enter or use the Website. 
1.	USER NAME AND PASSWORD
Registered users of the Service are required to keep their selected user name and password strictly confidential and are solely responsible for any disclosure of this information unless the disclosure is made by the Company.  Registered users are also responsible for the actions of any one who accesses the Website by use of their respective user names and passwords, caused by any act or negligence on their part. 
2.	ELIGIBILITY 
The services available through the Website are only available and may only be used by those over the age of majority (currently 18 under Ontario law) and only by those not mentally incapacitated. Anyone registering or otherwise using the Service on behalf of a business represents that he/she has authority to bind such business to the terms hereof. If you choose to access the Website from outside of Canada, you do so on your own initiative and are responsible for compliance with applicable local, national or international laws.
3.	ELECTRONIC COMMUNICATIONS
When you visit the Website, you are communicating with us electronically.  You consent to communications from us electronically.  We may communicate with you by e-mail or by posting notices on the Website.
4.	INTELLECTUAL PROPERTY AND PERMITTED USE
The Company is the owner or authorized user of all intellectual property rights in the Website and Service and all content displayed on the Website other than as uploaded or posted on the Website by others. All information at the Website is protected under the copyright laws and other intellectual property laws of Canada and other countries. You may display on your computer, download and print pages of the Website, provided: (i) the words “Tradepoint.ca Inc." appears on all material that is so printed; (ii) the information will not be altered in any manner; and (iii) your use of such pages is only for personal and non-commercial use. Other than in accordance with the foregoing, no one has permission to copy, redistribute, reproduce or republish in any form, any content displayed at the Website.
All trademarks, logos, and service marks displayed on the Website are registered and unregistered trademarks of the Company and/or others, and may not be used by you in any way without the express written permission of the Company or the owner of such trademark. 
5.	INDIVIDUAL OFFERINGS
The Company is an online classifieds and web trading platform to connect buyers and sellers. We provide tools and listings services for buying and selling products and services across Canada. The Company acts as a venue to and for the benefit of buyers and sellers of goods and services.  Those parties offering goods and/or services on the Website from or on any one or more of such offerings are referred to as the “Sellers". Inherent to this function is the listing of and/or advertisements by such Sellers of the products and/or services they offer with or without links to websites operated by or on behalf of such Sellers and/or various representations by Sellers as to their respective businesses and/or the quality of goods and services offered by them. Such listings and/or advertisements do not imply the endorsement or approval of such products or services by the Company. The Company has no control over the Sellers or over the quality, safety or legality of any products or services offered by any of them. Furthermore, the Company neither has any control over the terms of any contract, verbal or written, that may be entered into with any of the Sellers nor does it have any control to ensure the performance of such contractual terms or quality, legality or safety of the products and services purchased or supplied from any Sellers. Warranties of products and services sold by Sellers are to be obtained directly from the Sellers and/or the manufacturers of products directly and not from the Company.  Any ordering of products and/or services represents a contract between the party making such order and the particular Seller and is not a contract with the Company.  Users of the Website and anyone else who retain any of the Sellers and/or purchase any products or services from a Seller, do so at their own risk.  The disclosure of personal information by users to Sellers or on behalf of Sellers is made at their own risk and the Company is not responsible for the use and further disclosure of such personal information. No representation or warranty is made hereunder whatsoever including as to the contractual terms pertaining to the products and services purchased or supplied by any Seller. The Company does not guarantee any sales by Sellers. TRADEPOINT.CA INC., TOGETHER WITH ITS SHAREHOLDERS, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES AND/OR AGENTS PROVIDES THE WEBSITE AND SERVICES "AS IS" AND WITHOUT ANY REPRESENTATION, WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY. TRADEPOINT.CA INC. SPECIFICALLY DISCLAIMS ANY IMPLIED REPRESENTATION, WARRANTIES OF TITLE, MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. You release the Company, its shareholders and its subsidiaries and their respective officers, directors, agents and employees) from all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, howsoever caused arising out of or in any way connected with the use of this Website and/or out of the products and/or services offered and/or supplied by any of the Sellers, whether based on warranty, contract, tort or any other legal theory and whether or not the Company has been advised of the possibility of such damages, including without limitation, arising from or related to business interruption, loss of use, loss of data, or any other loss. Without limiting the generality of the foregoing, under no circumstances shall the Company be liable for direct, indirect, incidental, special, consequential or exemplary damages (even if the Company has been advised of the possibility of such damages), howsoever arising resulting from any aspect of your use of the Website.  All of the foregoing provisions apply likewise to the offering of goods and services (and any resulting purchase of same) resulting from users of the Service posting advertisements on the Website and/or uploading content on the Website pursuant to which such users solicit and/or seek sellers of goods and/or services.
6.	OFFERING OF PRODUCTS OR SERVICES AND USER CONTRIBUTIONS TO WEBSITE
a.	User Submissions	Any and all ideas, suggestions and/or submissions forwarded or disclosed by you or on your behalf to Tradepoint.ca Inc. are made with the specific understanding that: (a) same will not be subject to any obligation of confidentiality or expectation of compensation, (b) any and all rights that you may have in such ideas, suggestions and/or submissions are absolutely waived, (c) you represent and warrant to the Company that such ideas, suggestions and/or submissions are wholly original with you, that no one else has any rights in and to same, and (d) the Company is free to implement the ideas, suggestions and/or submissions as it may from time to time desire, without obtaining permission or license from any third party. 
b.	Responsibility for Content	All postings, messages, text, files, images, photos, video, sounds, or other materials ("Content") posted on, transmitted through, or linked from the Website, are the sole responsibility of the person from whom such Content originated. More specifically, you are entirely responsible for all Content that you post, email or otherwise make available via the Website. 
c.	Sales to Conform to Law; Privacy	All sales by Sellers through use of the Service shall be made in conformance with all applicable federal, provincial and municipal statutes, regulations, by-laws and ordinances, including without limitation, the Consumer Protection Act, (Ontario). All Sellers assume all responsibility for such compliance. Sellers agree not to use or disclose any personal information of anyone obtained from or through the Company, for any purpose other than the negotiation and completion of any contract between such Seller and such person, without obtaining the consent of the applicable party.
d.	No Intellectual Property Infringement	Each Seller warrants that neither such Content uploaded by it (including any component thereof) nor its display shall result in the infringement of any intellectual property rights of others. Such display of Content by the Company shall be deemed to be licensed to the Company. Each Seller waives all moral rights with respect to any copyright pertaining to or connected with Content posted on the Website.
e.	Not to Depreciate Goodwill	Each Seller acknowledges that the profitability of the Company’s business is dependant on the goodwill achieved between it and vendors and purchasers of products and services. As such, no Seller will take actions that will, on a reasonably foreseeable basis, serve to depreciate or impair the value of such goodwill.
f.	No Expectation of Exclusivity	Each Seller understands that the Company may, without restrictions, display products and services of any person, company or entity, regardless of whether or not same are in competition to the products and services of the Sellers. The content of all other products and services and any advertisements and any other content running on the Website in whatever format, shall be subject to the absolute discretion of the Company and the Sellers shall have no rights to object to same.
g.	Right to Restrict Content	All Content furnished by the Sellers are subject to the approval of the Company. Without limiting the generality of the foregoing, the Company has the right to refuse to accept or display (and the right to remove) any Content which: infringes, in the opinion of the Company, in its sole description, on the intellectual property rights of others, does not conform with all applicable laws, is not permitted to be viewed by persons under the age of majority or which contains lascivious or obscene content or which would bring the Company’s reputation into disrepute, does not conform with the Company’s technical and other reasonable requirements, including, but not limited to the format and quality of the Content, or which conflicts with any existing agreement between Company and any third party. The Company reserves the right to place the Content in such location within the Website, as it may determine in its discretion, provided that it acts in good faith.
h.	No Responsibility for Content	Company is not responsible for Content made available through the Website. By using the Website, you may be exposed to Content that is offensive, indecent, inaccurate, misleading, or otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any Content, that you may not rely on said Content, and that under no circumstances will the Company be liable in any way for any Content or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed or otherwise made available via the Website. You acknowledge that the Company is not required to pre-screen or approve Content, but that the Company shall have the right (but not the obligation) in its sole discretion to refuse, delete or move any Content that is available via the Service, for violating the letter or spirit of the Terms or for any other reason. 
i.	Limits on Postings	You are prohibited from posting or transmitting to or from the Website any false, inaccurate, misleading, fraudulent, unlawful, threatening, libelous, defamatory, obscene, pornographic, hateful, malicious or other material that would violate any applicable law, or otherwise be in violation of the intellectual property rights of others. 
j.	Limits on Postings, Continued	You are prohibited from posting or transmitting to or from the Website any Content containing any viruses, Trojan horses, worms, time bombs or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information or create liability for us or cause us to lose (in whole or in part) the services of our ISPs or other Sellers.
k.	Limits on Postings, Continued	You agree not to post, email, or otherwise make available any Content that: (a) constitutes or contains any form of advertising or solicitation if (1) posted in areas of the Website which are not designated for such purposes; or (2) emailed to users of the Website who have requested not to be contacted about other services, products or commercial interests, (b) includes links to commercial services or web sites that disrupts the normal flow of dialogue with an excessive number of messages (flooding attack) to the Website, or that otherwise negatively affects other users' ability to use the Website, or (c) that employs misleading email addresses, or forged headers or otherwise manipulated identifiers in order to disguise the origin of content transmitted through the Website.
l.	Limits on Postings Continued	Additionally, you agree not to: (a) contact anyone who has asked not to be contacted, (b)"stalk" or otherwise harass anyone, (c) collect personal data about other users for commercial or unlawful purposes, (d) use automated means, including spiders, robots, crawlers, data mining tools, or the like to download or upload data from the Website - unless expressly permitted by the Company, (e) post non-local or otherwise irrelevant content, repeatedly post the same or similar content or otherwise impose an unreasonable or disproportionately large load on our infrastructure, (f) post the same item or service in more than one classified category or forum, or in more than one metropolitan area, (g) attempt to gain unauthorized access to the Company’s computer systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the Website; (h) impersonate any person on the Website or through the Website; or (i) or engage in any “screen scraping" or “data scraping" activities. 
m.	Company Rights to Make Postings Available on Other Locations	You acknowledge that the Content posted by you, or any part thereof, may be posted under the authority of the Company on one or more websites (in addition to the Website) that offer online classified advertisements which may be but are not necessarily operated by the Company.  These Terms shall apply to such postings as well and you shall have no claim against the Company or the operator of such other website(s) in connection therewith.
7.	INDEMNITY 
You agree to indemnify and hold the Company, its officers, subsidiaries, affiliates, successors, assigns, directors, officers, agents, service providers, suppliers and employees, harmless from any claim or demand,  made by any third party due to or arising out of Content you submit, post or make available through the Service, your use of the Service, your violation of the Terms, your breach of any of the representations and warranties herein, or your violation of any rights of another.
8.	E-MAIL MESSAGES AND SECURITY
While every reasonable effort is made by the Company to ensure that the security of all information on the Website is in accordance with industry standards, you should take reasonable and appropriate precautions to scan for computer viruses. Tradepoint.ca Inc. recommends that you utilize firewall hardware. The Company cannot represent or warrant that the Website is a secure repository. Regular, unencrypted e-mail messages over the Internet are not secure. The Company shall not be responsible for any unauthorized access to personal or confidential information that is contained in any email or other transmission relating in any way to the Website. Use of the Service requires certain minimum hardware and software packages, as well as Internet access. The Company shall not be responsible for any of your costs associated therewith. Users are advised that due to the proliferation of computer viruses and/or spyware, it is their sole responsibility to ensure their computer is free from all such programs and/or applications.
9.	AVAILABILITY OF SERVICE
The services provided under the Website may be limited or discontinued at any time by the Company at its discretion and without notice. You agree that the Company, in its sole discretion, has the right (but not the obligation) to delete or deactivate your account or otherwise terminate or restrict your use of the Website and/or your access to same and/or its Service.
10.	EXTERNAL LINKS
The Website may provide links to third party websites, and some of the content appearing on the Website may be supplied by third parties by way of framing, metatagging or otherwise linking to other websites. The Company shall not be responsible for any such content or information, nor shall it be liable for any damages incurred from viewing such linked websites, including without limitation, damages caused by computer viruses, Trojan horses or other intrusive, destructive or disruptive codes which may be downloaded from such linked websites. You may not provide a link to the Website without the express written permission of the Company.
11.	SEVERABILITY 
If any provision of the Terms shall be unlawful, void or unenforceable for any reason, then any such provision shall be deemed severable to the extent that it is unlawful, void or unenforceable, but shall not affect the validity or enforceability of the remaining provisions.
12.	GOVERNING LAW
The Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein without reference to the principles of conflicts of laws thereof. Any dispute arising from these Terms shall be resolved exclusively in the Province of Ontario by the courts of the Province of Ontario. 
13.	 GENERAL
No waiver of any term of these terms of use shall be deemed a further or continuing waiver of such term or any other term. Except as otherwise expressly provided in the Website, this agreement constitutes the entire agreement between you and the Company  with respect to use of the Website.  No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship shall be deemed to exist between the Company and users of the Website and/or Service.
14.	AMENDMENTS
We may amend this agreement by posting the amended terms on the Website. All amended terms shall become applicable upon such posting.
